1. Acceptance of Terms

These Terms of Use ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and SIA LVPLUSS ("Company", "we", "us", or "our"), concerning your access to and use of our website, applications, and IT consulting services.

If you do not agree with all of these Terms, you are expressly prohibited from using the site or services and must discontinue use immediately.

2. Intellectual Property Rights

Unless otherwise indicated, the website, source code, databases, software, website designs, audio, video, text, photographs, graphics, and proprietary technologies (including but not limited to the Neural Catalytic Accelerator framework) are owned or controlled by SIA LVPLUSS and are protected by copyright, trademark, and international intellectual property laws.

• You may not copy, reproduce, aggregate, republish, upload, post, publicly display, encode, translate, transmit, distribute, sell, license, or otherwise exploit any part of our site without express prior written permission.

3. Services & Corporate Engagements

SIA LVPLUSS provides IT consulting, telecommunications, web development, custom software engineering, cloud architecture, and proprietary scientific software applications. All formal software development projects, consulting arrangements, and SLAs (Service Level Agreements) are governed by specific commercial contracts executed directly between SIA LVPLUSS and the client.

4. User Representations & Prohibitions

By using our services or submitting information through our portal/waitlists, you represent and warrant that:

• All registration and contact information you submit is truthful, accurate, and up to date.
• You will maintain the accuracy of such information.
• You have the legal capacity and agree to comply with these Terms of Use.
• You will not access the site through automated or non-human means (e.g., bots, scripts) without authorization.
• You will not use the website for any illegal or unauthorized purpose, or violate any applicable laws in the Republic of Latvia, the European Union, or your jurisdiction.

5. Institutional Applications & NCA Waiting List

Participation in waiting lists, early access requests, or API previews for institutional software (such as the Neural Catalytic Accelerator - NCA) does not guarantee access or specific delivery timelines. SIA LVPLUSS reserves the right to screen institutional access based on compliance, organizational suitability, and technical evaluation.

6. Invoicing & Banking Security

Official invoices issued by SIA LVPLUSS will contain the company's verified banking details as displayed on our official platform. Clients must ensure payments are remitted strictly to authorized bank accounts under the name of SIA LVPLUSS.

7. Limitation of Liability

In no event will SIA LVPLUSS, its directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages arising from your use of the website or our digital services, even if we have been advised of the possibility of such damages.

8. Governing Law & Dispute Resolution

These Terms shall be governed by and defined following the laws of the Republic of Latvia and the European Union. SIA LVPLUSS and yourself irrevocably consent that the courts of Latvia shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
